DMCA & Copyright Policy

THIS POLICY DESCRIBES HOW MVMUSICS INC. HANDLES CLAIMS OF COPYRIGHT INFRINGEMENT IN ACCORDANCE WITH THE DIGITAL MILLENNIUM COPYRIGHT ACT (17 U.S.C. § 512) AND OTHER APPLICABLE INTELLECTUAL PROPERTY LAWS. BY USING OUR SERVICES, YOU AGREE TO COMPLY WITH THIS POLICY.

1. Overview and Commitment

MvMusics Inc. ("MvMusics," "Company," "we," "us," or "our") respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and all applicable copyright laws. MvMusics operates as a service provider and platform for content distribution under Section 512(c) of the DMCA. We do not independently verify, monitor, or pre-screen the ownership or licensing status of content uploaded by users prior to distribution. Users are solely and entirely responsible for ensuring they have all necessary rights, licenses, permissions, and authorizations to upload and distribute content through the Services. MvMusics reserves the right to remove or disable access to any content that allegedly infringes copyright, in accordance with this Policy.

2. Designated DMCA Agent

In accordance with 17 U.S.C. § 512(c)(2), MvMusics has designated the following agent to receive notifications of claimed infringement:

All DMCA notifications must be submitted to the designated agent at the contact information above. Notifications sent to other email addresses or through other channels may not receive a timely response and do not constitute proper notice under the DMCA.

3. Copyright Infringement Notification (Takedown Request)

If you are a copyright owner or an agent authorized to act on behalf of a copyright owner, and you believe that content available through our Services infringes your copyright, you may submit a written DMCA takedown notification to our designated agent. Your notification must contain all of the following elements as required by 17 U.S.C. § 512(c)(3):

(a) A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the owner;

(b) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;

(c) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit MvMusics to locate the material (including, where applicable: release title, artist name, ISRC codes, UPC codes, and URLs);

(d) Information reasonably sufficient to permit MvMusics to contact you, including your address, telephone number, and email address;

(e) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(f) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Failure to include all required elements may result in your notification being deemed insufficient and not actionable. MvMusics is under no obligation to act on incomplete or non-compliant notifications.

4. Processing of Takedown Requests

Upon receipt of a valid DMCA notification, MvMusics will: (a) review the notification for compliance with Section 512(c)(3) requirements; (b) expeditiously remove or disable access to the allegedly infringing material; (c) initiate takedown requests to all DSPs to which the content has been distributed (note: DSPs operate independently and MvMusics cannot guarantee the timing or completion of DSP-side removals); (d) notify the user who uploaded the content (the "alleged infringer") that the content has been removed and provide a copy of or reference to the notification; (e) document the notification in the user's account for repeat infringer tracking purposes. MvMusics will act on valid notifications within commercially reasonable timeframes, typically within five (5) to ten (10) business days of receipt. Emergency or high-priority takedowns (e.g., commercial-scale piracy) may be processed on an expedited basis at our discretion.

5. Counter-Notification

If you believe that your content was removed or disabled as a result of mistake or misidentification, you may submit a written counter-notification to our designated DMCA agent. Your counter-notification must contain all of the following elements as required by 17 U.S.C. § 512(g)(3):

(a) Your physical or electronic signature;

(b) Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access was disabled;

(c) A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;

(d) Your name, address, and telephone number;

(e) A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if your address is outside of the United States, for any judicial district in which MvMusics may be found), and that you will accept service of process from the person who provided the original notification or an agent of such person.

Upon receipt of a valid counter-notification, MvMusics will: (a) forward the counter-notification to the original complainant; (b) inform the complainant that the removed material may be restored in ten (10) to fourteen (14) business days; (c) restore the material within ten (10) to fourteen (14) business days after receiving the counter-notification, unless MvMusics receives notice from the complainant that a court action has been filed seeking a restraining order against the alleged infringer. MvMusics is not obligated to restore content where, in its sole judgment, restoration would violate applicable law or our Terms of Service.

6. Repeat Infringer Policy

MvMusics maintains a strict repeat infringer policy in accordance with 17 U.S.C. § 512(i). The following provisions apply:

6.1 Three-Strike Rule. Users who receive three (3) valid DMCA takedown notifications (for which no successful counter-notification was filed) will have their accounts permanently terminated. This termination is automatic and non-appealable.

6.2 Single-Strike Termination. MvMusics reserves the right to terminate accounts after a single infringement in cases of: (a) willful or intentional infringement; (b) commercial-scale infringement; (c) uploading content that the user clearly does not own; (d) uploading content previously subject to a valid takedown on the same or another account; (e) any other circumstance where MvMusics, in its sole judgment, determines that a single strike warrants termination.

6.3 Consequences of Termination. Upon termination for repeat infringement: (a) all content will be removed from the platform and takedown requests will be sent to all DSPs; (b) all credits are permanently forfeited with no refund; (c) all pending and accrued revenue below the minimum withdrawal threshold is forfeited; (d) the user is permanently banned from creating new accounts; (e) device fingerprint and other identifying information will be used to prevent circumvention of the ban; (f) MvMusics may report the infringement to appropriate authorities.

6.4 Counter-Notification Effect. A successful counter-notification (one for which the complainant does not file a court action within the statutory period) will result in the corresponding strike being removed from the user's record.

7. Revenue and Financial Implications

When content is subject to a DMCA takedown: (a) all revenue generated by the infringing content may be withheld pending resolution; (b) if infringement is confirmed, all withheld revenue may be forfeited; (c) MvMusics may, at its discretion, remit withheld revenue to the legitimate copyright holder upon presentation of sufficient proof of ownership; (d) users who uploaded infringing content are responsible for any chargebacks, refunds, or financial claims resulting from the infringement; (e) MvMusics reserves the right to offset any financial liabilities against the user's wallet balance, including both deposit and earnings balances.

8. Content ID and Automated Copyright Protection

8.1 YouTube Content ID. MvMusics provides YouTube Content ID registration as part of distribution services. Content ID is managed by YouTube/Google and third-party partners. MvMusics does not independently operate or control the Content ID system.

8.2 No Guarantee. MvMusics does not guarantee: (a) acceptance of your content into the Content ID system; (b) the accuracy of Content ID claims or matches; (c) the effectiveness of Content ID in preventing unauthorized use; (d) revenue recovery through Content ID.

8.3 False Claims. Filing false or fraudulent Content ID claims through the MvMusics platform constitutes a material breach of our Terms of Service and may result in: (a) immediate account termination; (b) forfeiture of all credits, revenue, and content; (c) legal liability to the affected parties; (d) reporting to YouTube/Google and other authorities.

9. Misrepresentation Warning

WARNING: UNDER SECTION 512(f) OF THE DMCA, ANY PERSON WHO KNOWINGLY MATERIALLY MISREPRESENTS THAT MATERIAL OR ACTIVITY IS INFRINGING, OR THAT MATERIAL OR ACTIVITY WAS REMOVED OR DISABLED BY MISTAKE OR MISIDENTIFICATION, MAY BE SUBJECT TO LIABILITY FOR DAMAGES, INCLUDING COSTS AND ATTORNEYS' FEES INCURRED BY THE ALLEGED INFRINGER, BY ANY COPYRIGHT OWNER OR COPYRIGHT OWNER'S AUTHORIZED LICENSEE, OR BY THE SERVICE PROVIDER.

Filing a false DMCA notification or counter-notification constitutes perjury under federal law. Before submitting a DMCA notification, ensure that you have a good faith belief that the use of the material is not authorized. Before submitting a counter-notification, ensure that the material was removed by mistake or misidentification. If you are unsure whether material infringes your copyright, we strongly recommend consulting with an attorney before filing a notification.

10. Limitation of Liability

MvMusics does not pre-screen, verify, or monitor uploaded content for copyright compliance prior to distribution. MvMusics is not responsible for and disclaims all liability related to: (a) the accuracy or completeness of any DMCA notification or counter-notification; (b) any damages resulting from the removal, non-removal, or delayed removal of content; (c) any copyright infringement committed by users of the platform; (d) the outcome of any dispute between copyright holders and alleged infringers; (e) any actions taken or not taken by DSPs in response to takedown requests; (f) any loss of revenue, streams, followers, or promotional momentum resulting from content removal; (g) any error or delay in processing DMCA notifications or counter-notifications. Users who upload infringing content agree to fully indemnify MvMusics Inc., its officers, directors, employees, agents, and affiliates against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from such infringement.

11. Cooperation with Law Enforcement

MvMusics cooperates with law enforcement agencies investigating copyright infringement and other intellectual property crimes. We may disclose user information, content records, transaction history, and other data in response to valid legal process including subpoenas, court orders, and search warrants. We may also voluntarily report suspected criminal copyright infringement to appropriate authorities, including the FBI and the Department of Justice.
